These terms govern access to and use of the OctoFin platform, as well as the sale of the access that entitles users to it. They form a contract between the publisher and any person who creates an account, purchases an access or uses an access code. They apply to the exclusion of any other terms, in particular those that may arise from prior commercial dealings.
We draw your attention to three articles in particular. Article 6 describes an offer based on a one-time payment and a fixed term: it is not a subscription, nothing is renewed, and you therefore have nothing to cancel. Article 7 governs your right to withdraw from the purchase, with an important exception specific to digital content. Article 8 defines the use you may make of the content; it constitutes a decisive condition of the contract.
The OctoFin platform, accessible online, is published by the company hereinafter referred to as “the publisher” or “OctoFin”. The publisher can be contacted with any question relating to these terms, to an order or to the operation of the service at support@octofin.io, as well as through the support area built into the platform for users who have an account.
The terms below, when they begin with a capital letter, have throughout these terms the meaning given to them here, whether used in the singular or the plural.
The purpose of these terms is to define, on the one hand, the terms of access to and use of the Platform and, on the other hand, the conditions under which the publisher sells Access. They constitute the entire agreement between the parties with respect to their subject matter.
Creating an Account, purchasing an Access or activating an access code entails full, complete and unreserved acceptance of these terms in the version in force on that date. A User who does not accept these terms must refrain from using the Platform.
The User declares that they have the legal capacity to enter into a contract. The Platform is intended for students; where a User is a minor, creating the Account and purchasing an Access require the prior consent of the holder of parental authority, who then accepts these terms on behalf of the minor and assumes the obligations arising from them, in particular financial obligations.
OctoFin is a service for preparing for recruitment interviews in corporate finance, mainly in the fields of Investment Banking, mergers and acquisitions, Private Equity and leveraged finance. The Platform provides a structured programme, a question bank combined with a spaced repetition mechanism, case studies, a database of interview reports, quantified progress tracking, a calendar of recruitment processes and a conversational assistant.
The Platform provides training tools and preparation aids. It does not in any way constitute a placement service, a recruitment service, an intermediation activity towards employers, or personalised career guidance advice.
The publisher does not guarantee that the User will obtain an interview, an internship or a job, nor any specific result. Recruitment decisions rest exclusively with employers and are based on criteria over which the publisher has no control. The progress achieved depends first and foremost on the personal work put in by the User, their regularity and their initial level.
The interview reports made available are individual accounts reported by other users. They reflect past experiences and in no way prejudge the course, content or criteria of a future interview at the same institution.
The Platform includes an assistant based on language models operated by third-party providers. Its answers are generated automatically from the Content and the question asked: they may contain inaccuracies, omissions or approximate wording, and they replace neither the educational Content nor verification by the User. The publisher does not guarantee the accuracy of the answers generated.
Use of the assistant is subject to hourly and monthly quotas designed to prevent automated use and to preserve the availability of the service for all users. The consequences of this use with regard to personal data are described in Article 5 of the privacy policy.
Registration requires a valid email address and a password that complies with the Platform’s security policy, or the use of a third-party identity provider. The User guarantees the accuracy and truthfulness of the information provided at registration and undertakes to keep it up to date throughout the contractual relationship. The publisher reserves the right to suspend any Account containing manifestly inaccurate or fanciful information.
The Account is personal, in the User’s name and non-transferable. The User is solely responsible for keeping their login credentials confidential and for all actions carried out from their Account, including those of a third party whom they have, voluntarily or through negligence, allowed to access it. It is the User’s responsibility to inform the publisher without delay of any unauthorised use of which they become aware.
The following are expressly prohibited, without this list being exhaustive: disclosing login credentials to a third party, simultaneous or alternating use of the Account by several people, and reselling, renting, lending, exchanging or sharing the Access in any form and on any basis whatsoever, including free of charge and including within a restricted circle of family, friends or fellow students.
In order to enforce the personal nature of Accounts, on which the very economics of the service depend, the Platform records technical connection data (IP address, browser and operating system type, timestamp) and flags sets of indicators revealing shared use, such as concurrent logins from manifestly different locations or devices.
These flags never give rise to an automatic sanction: they are submitted to the assessment of a natural person before any measure is taken. The nature of this processing, its purpose, its legal basis and its retention period are described in Article 6 of the privacy policy.
Access is purchased by one-time payment and opens use of the Platform for the fixed period chosen when ordering. It is not a subscription: no tacit renewal takes place, no automatic debit is set up, and consequently no cancellation procedure is necessary. At the end of the term, the Access ends as of right, without formality or prior notice other than the customary reminders sent as a courtesy.
The durations offered, the corresponding prices expressed in euros inclusive of all taxes, and the details of what each plan includes are displayed on the Pricing page and restated to the User before final confirmation of their order. The applicable price is the one displayed at the time of the order; any subsequent change in prices has no effect on Access already acquired.
The User may purchase a new Access at any time, including before the end of the one they hold. In that case, the newly acquired period is added to the remainder of the current Access: extending early does not cause the loss of any day already paid for.
An Access may also be opened by means of a code issued by the publisher, in particular in connection with offers paid for outside the Platform or with an agreement concluded with a Partner Institution. The code is personal and single-use; it confers the same rights and entails the same obligations as an Access purchased online, for the period it opens.
Disclosing a code to a third party, reselling it or publishing it constitutes a clear-cut breach of these terms and entitles the publisher to deactivate it immediately, without refund.
Where the Access is opened by a Partner Institution, its duration and scope are those of the agreement entered into by that institution. The end of that agreement, whatever its cause, terminates the corresponding Access; the publisher endeavours to inform the users concerned within a reasonable time.
Online payments are processed by a payment service provider certified at level 1 of the PCI-DSS standard. Card data is entered directly with this provider, in an environment that belongs to it: it never passes through the publisher’s servers and is never stored there.
The order becomes final only once the provider has confirmed the payment. If authorisation is refused, no Access is opened and the order is deemed never to have existed. In the event of subsequent non-payment, in particular in the event of a payment stop or a chargeback, the publisher is entitled to withdraw the corresponding Access period.
In accordance with Article L.221-18 of the French Consumer Code, the consumer in principle has a period of fourteen (14) days from the conclusion of the contract to exercise their right of withdrawal, without having to give reasons for their decision or to bear any costs other than those provided for by law.
Pursuant to Article L.221-28, 13° of the French Consumer Code, this right cannot be exercised for the supply of digital content not supplied on a tangible medium where performance has begun with the consumer’s prior express consent and the consumer’s express waiver of their right of withdrawal.
By requesting the immediate opening of their Access when ordering, the consumer User gives this consent and expressly waives their right of withdrawal for the part of the content thus supplied. This waiver, and the resulting loss of the right of withdrawal, are clearly brought to their attention before the payment is confirmed.
Independently of the foregoing, and without prejudice to the statutory warranties referred to in Article 13, the publisher may grant a full or partial refund as a commercial gesture, assessed on a case-by-case basis. A full refund ends the corresponding Access: the period acquired under the refunded payment is withdrawn from the Account. A partial refund has no effect on the Access period, which remains acquired.
A User who considers themselves wronged is invited to contact support before initiating a dispute procedure with their bank. A dispute resulting in the refund of the payment entails the withdrawal of the corresponding Access period.
This article constitutes an essential and decisive condition of the contract. Without the User’s undertaking in this respect, the publisher would not have entered into the contract or opened access to the Content.
The Content, the Platform, its visual identity, its trademarks, its logos, its databases, its interfaces and its software developments are protected by intellectual property law and remain the exclusive property of the publisher or its rights holders. No provision of these terms may be interpreted as entailing the assignment, on any basis whatsoever, of any intellectual property right to the User.
The publisher grants the User a personal, non-exclusive, non-assignable, non-transferable and non-sublicensable right of use, strictly limited to the duration of their Access and solely for the purposes of their own interview preparation. Any use exceeding this licence requires the prior written authorisation of the publisher.
The following are prohibited in particular, without this list being exhaustive:
The bank of questions and model answers, the database of interview reports and the corpus of lessons constitute databases within the meaning of Articles L.341-1 et seq. of the French Intellectual Property Code, whose creation, verification and presentation required a substantial investment. The publisher, as producer of these databases, prohibits the extraction and reuse of their content, including where these concern insubstantial parts but result from repeated and systematic extractions manifestly exceeding the conditions of normal use.
The Platform implements technical measures designed to protect the Content. It is prohibited to circumvent, neutralise or disable them, or to facilitate their circumvention by others. Detected capture attempts may be recorded for evidential purposes, under the conditions described in the privacy policy.
Any breach of this article may result in the immediate suspension or termination of the Access, without refund, without prejudice to the civil and criminal proceedings that the publisher reserves the right to bring. Infringement is punishable under Articles L.335-2 and L.343-1 of the French Intellectual Property Code. The User also remains liable to compensate the full damage caused, in particular the loss of earnings resulting from the unauthorised distribution of the Content.
The Platform allows the User to submit content, in particular interview reports, personal notes, free-text answers and messages sent to support.
The User guarantees that their contributions are truthful, that they do not infringe any third-party rights and that they contain nothing unlawful, abusive, defamatory, discriminatory or contrary to public policy.
It is the User’s responsibility not to disclose any information covered by a confidentiality undertaking given to an employer, a recruiter or an institution, nor any data making it possible to identify a natural person, in particular the names of the people they dealt with. The publisher cannot be held liable for the consequences of a disclosure made by the User in breach of their own obligations.
The User grants the publisher, free of charge, on a non-exclusive basis and for the legal term of protection of the rights, the right to reproduce, adapt, correct, translate and distribute their contributions on the Platform, solely for the purposes of operating the service and in anonymised or pseudonymised form.
The publisher reserves the right to moderate, amend, refuse or remove any contribution that breaches these terms or whose quality is insufficient, without this right constituting a general monitoring obligation. The removal of a contribution does not give rise to any compensation.
The publisher implements proportionate measures to detect abnormal use: request caps, logging of connections, recording of capture attempts and flagging of indications of Account sharing. The sole purpose of these measures is to preserve the security of the service, its availability for all users and the publisher’s rights.
They do not give rise to any decision producing legal effects based solely on automated processing within the meaning of Article 22 of Regulation (EU) 2016/679: any suspension or termination is preceded by an assessment by a natural person.
If the User breaches these terms, the publisher may suspend the Access as a precautionary measure while the situation is investigated, and then terminate it. Except in cases of urgency or serious breach (in particular infringement of intellectual property, Account sharing, attempted mass extraction or a breach of security), termination is preceded by a formal notice sent by email that has remained without effect for a period of fifteen (15) days.
Termination for breach does not give rise to any refund, even partial, of the remaining Access time, without prejudice to any damages the publisher may be entitled to claim.
As the Access is not renewable, no termination procedure is necessary to end it: it expires of its own accord at the end of its term.
The User may delete their Account at any time from their personal area. This deletion results in the erasure of their data under the conditions set out in the privacy policy, subject to legal retention obligations, and ends the current Access without refund of the remaining time. It is final and does not allow the accumulated progress to be restored.
The publisher endeavours to ensure the availability of the Platform twenty-four hours a day, without being able to guarantee absolute continuity. Access may be interrupted for maintenance, update or security operations, or due to circumstances beyond the publisher’s control, in particular a failure of the hosting providers, of the internet network or of the third-party suppliers on which the service depends.
The publisher endeavours to schedule planned interruptions at off-peak times and to inform users of them when they are likely to last for a significant period.
The publisher changes and develops the Content, the features and the ergonomics of the Platform. These changes may not lead to a substantial reduction in the substance of what was acquired under a current Access; should such a reduction occur, the User could request a refund of the unperformed portion of their Access.
Independently of any commercial warranty, the publisher remains bound towards the consumer User by the statutory warranties provided for by the French Consumer Code, in particular the statutory warranty of conformity for digital content governed by Articles L.224-25-12 et seq., as well as the warranty against hidden defects provided for in Articles 1641 et seq. of the French Civil Code.
No provision of these terms may have the effect of limiting or excluding these warranties, which are a matter of public policy.
The publisher is bound by an obligation of means (best-efforts obligation) as regards the provision of the service and the accuracy of the educational Content. Its liability cannot be incurred in the event of fault on the part of the User, in particular failure to keep their login credentials safe, use not in accordance with these terms, or the service’s unsuitability for particular needs that the User did not bring to its attention.
Nor can the publisher be held liable for indirect damage, such as the loss of a chance of obtaining an interview, an internship or a job, loss of profit, loss of data attributable to the User or damage to reputation.
The publisher is not responsible for the content of the third-party sites to which the Platform links, nor for the recruitment decisions made by employers.
Within the limits permitted by law, and except in the case of gross negligence or wilful misconduct, the publisher’s liability under the contract is capped at the amount actually paid by the User during the twelve (12) months preceding the event giving rise to the damage.
No clause of this article has the effect of limiting the rights that the consumer User derives from public-policy provisions, nor of excluding the publisher’s liability in the event of personal injury or intentional misconduct.
Neither party may be held liable for the non-performance of, or delay in performing, its obligations resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code and the case law of the French courts.
The following are in particular treated as cases of force majeure, without this list being exhaustive: widespread interruptions of the internet network, major failures of hosting or energy providers, large-scale cyberattacks, and decisions of public authorities preventing the operation of the service. Should the impediment last more than thirty (30) consecutive days, either party could terminate the contract as of right, in which case the publisher would refund the unperformed portion of the Access.
The parties agree that the records kept in the publisher’s information systems (connection logs, timestamps, activity traces, order confirmations and email exchanges) constitute admissible evidence and are authoritative between them as to the facts they record, unless proven otherwise.
Each party is responsible for keeping the evidence it intends to rely on. This agreement is concluded without prejudice to the provisions relating to the protection of personal data and the retention periods attached to them.
The processing of personal data carried out in connection with the service (its purposes, its legal bases, the categories of data concerned, the recipients and processors, any transfers outside the European Union, the retention periods and the rights of the data subjects) is described in detail in the privacy policy, which forms an integral part of these terms.
The publisher may amend these terms, in particular to take account of changes to the service, to its commercial offer or to the applicable legal framework. Substantial amendments are brought to the attention of Users holding a current Access by any appropriate means, at least thirty (30) days before they come into force.
The terms applicable to an order are those in force on the date of that order. Continued use of the Platform after a new version comes into force constitutes acceptance of it; failing acceptance, the User may stop using the service and request the deletion of their Account.
If any provision of these terms were to be declared null, unlawful or unenforceable, it would be deemed unwritten without affecting the validity of the other provisions, which would remain in full force and effect.
The fact that one of the parties does not invoke a breach by the other party shall not be interpreted as a waiver of the right to invoke it subsequently.
The publisher may assign or transfer these terms, in particular in the context of a restructuring, merger or sale of its business, provided that such assignment does not diminish the User’s rights. The User may not assign their rights or obligations without prior written consent.
These terms are drawn up in French. In the event of translation, only the French version is authoritative between the parties.
These terms are governed by French law. In the event of a dispute, the User is invited to contact support first in order to seek an amicable solution.
In accordance with Articles L.612-1 et seq. of the French Consumer Code, the consumer may have recourse, free of charge, to a consumer mediator with a view to the amicable resolution of the dispute between them and the publisher. They may also use the European online dispute resolution platform made available by the European Commission.
Failing amicable resolution, the dispute falls within the jurisdiction of the French courts. The consumer User in any event retains the option of bringing proceedings either before one of the courts having territorial jurisdiction under the French Code of Civil Procedure, or before the court of the place where they resided at the time the contract was concluded or the harmful event occurred.
